It applies to our website and all related sites, applications, services and tools regardless of how you access or use them. This Privacy Policy will help you understand how we use your information and what we do with it. This Policy applies to all information we collect through our Services, even if you have not signed up for a PinPay account or downloaded one of our applications.

This policy does not, however, describe the practices of third parties that may collect information from you when you interact with them, including sellers that use PinPay to accept payment for goods or services (“Billers”).

We encourage you to ask them about their privacy practices before providing any information to them. We may change this policy from time to time. If we make changes, we will notify you by posting the updated policy and revising the "Last Updated" date above. We encourage you to review the policy whenever you use our Services to stay informed about our information practices and about the choices available to you. We collect information you provide, such as when you sign up for a PinPay biller, merchant or PinPay customer account, when you provide information as part of our identity verification process, in the course of a transaction, or when you request a digital receipt.

We respect the privacy of our online visitors and registered users (“Users”) as such we will take reasonable steps to protect your information.

About Us

PinPay is a digital payment platform that makes it easy for merchants to accept card, bank and mobile payments online from customers. Customers can use the platform to easily conduct payments through the mobile application and online payment links.

Updates, Modifications & Amendments

We may need to update, modify or amend our privacy policy as our technology evolves. We reserve the right to make changes to this privacy policy at any time by giving notice to Users on this page.

We advise that you check this page often, referring to the date of the last modification on the page. If a User objects to any of the changes to the Policy, the User must cease using this Site, or terminate account in the event an account has been created.

Age Restriction

Our website and services are not directed to children under 18. We do not knowingly collect information from children under 18. If as a parent or guardian, you become aware that your child or ward child has provided us with any information without your consent, please contact us through details on this Privacy Policy.

The Information we Collect

This section contains answers on how we collect and use personal data, the rights that individuals have in relation to personal data held by PinPay and how PinPay complies with international data protection laws like GDPR.

GDPR Compliant
The General Data Protection Regulation, or “GDPR” is a European privacy and data protection law. Under the GDPR, residents of the EU may exercise certain rights regarding their personal data.

As a provider of services, PinPay is required to comply with many regulations, including GDPR. To ensure protection of personal data, we have certified our Solution and Platform to be remain compliant with European data protection laws.

Personal Information
To gain full access to our website and services, you must register for a PinPay account. When you register for an account, we collect Personal Information which you voluntarily provide to us.

Personal Information refers to the personal information you submit:

  1. When you register for a PinPay account we collect your full name, email address, mobile number, business name and any information you provide and is used to identify you. This may also include anonymous information that is linked to you specifically (example: IP Address).

  2. When you fill in any of our online forms to contact any member of our team.

 We use your Personal Information to:

  1. Provide you with the required services
  2. Respond to your questions or requests
  3. Improve PinPay’s operations
  4. Address inappropriate use of our website
  5. Prevent, detect and manage risk against fraud and illegal activities 
  6. Target advertisements, newsletter and service updates 
  7. Verify the information that you provide with third parties
  8. Update our database, improve content and website layout
  9. Resolve disputes that may arise

We may retrieve additional Personal Information about you from third parties and other identification/verification services such as your financial Institution, payment processor and verification services. With your consent, we may also collect additional Personal Information in other ways including emails, surveys, and other forms of communication. Once you begin using our services through your PinPay account we will keep records of your transactions and collect information of your other activities related to our services. We will not share or disclose your Personal Information with a third party without your consent. 

Information we collect from App Users
We may collect, but are not limited to collecting, the following: basic user information, such as your name, email address, mailing address, phone number, photograph, and birth date; financial information, including bank account and payment card numbers; and other historical, contact, and demographic information. We also collect information when you upload or send information to or through the Services about your products and services (including inventory, pricing and other data), participate in contests or promotions offered by PinPay or our partners, respond to our surveys, or otherwise communicate with us. Some of our Services also allow you to connect with people you already know.

For example, you may upload information from your address book through the PinPay mobile app. We will match the information you provide to the information provided by other users of PinPay app in order to provide and improve the Service, including making it easier to find friends to whom you may send or request payments. We collect information about you when you use our Services, including as follows:

Transaction Information. When you use our Services to make or accept payments or money transfers, we collect information about when and where the transactions occurred, a description of the transactions, the payment or transfer amounts, billing and shipping information, and information about the devices and payment methods used to complete the transactions.

Location Information When one of our applications is open on your mobile device, we periodically receive information about the location of the device. We may also collect location information about your device if you are near a Seller with whom you have auto check-in enabled. For more information and to learn how to disable location information, please see "Your Choices" below.

Device Information. We collect device-specific information when you access our Services, including your hardware model, operating system and version, unique device identifiers, mobile network information, and information about the device's interaction with our Services. We may also identify other software running on the device (but will not collect any content from such software) for anti-fraud and malware-prevention purposes.

Use Information. We collect information about how you use our Services, including your access times, browser types and language, and Internet Protocol ("IP") addresses.

Information Collected by Cookies. We use various technologies to collect information, and this may include sending cookies to your computer or mobile device. Cookies are small data files that are stored on your hard drive or in device memory by a website. Among other things, cookies support the integrity of our registration process, retain your preferences and account settings, and help evaluate and compile aggregated statistics about user activity.

Information We Collect From Other Sources. We may also collect information about you from third parties, including but not limited to third-party verification services, credit bureaus, mailing list providers, and publicly available sources. In some circumstances, this information may include your Social Security or taxpayer identification number.

Use of Information. We use information about you to provide, maintain, and improve our Services and to deliver the information and support you request, including receipts, technical notices, security alerts, and support and administrative messages. We also use information about you to improve and personalize the Services. To take just one example, when you sign up for a PinPay account, we may associate certain information with your new account, such as information about other accounts you have or had with PinPay and prior transactions you made through the PinPay Services. We may use information we collect to send you news and information about our Services and to communicate with you about products, services, contests, promotions, incentives, and rewards offered by us and select partners. We may also use information about you to track and analyze trends and usage in connection with our Services; to process and deliver contest and promotion entries and rewards; to protect our rights or property; to verify your identity; to investigate and prevent fraud or other illegal activities; and for any other purpose disclosed to you in connection with our Services. We may, or we may use third-party service providers to, process and store personal information in Lebanon and other countries.

Digital Receipts. If you choose to receive receipts via email or text message, we store the email address or phone number you provide. We use your email address or phone number to send you a receipt for your purchase and to automatically send you digital receipts for future purchases you make from other Billers. Digital receipts may contain additional messages, offers, or links that may be of interest to you. For example, you may be able to submit feedback, share your experience on social media, view your purchase history, join programs, visit websites, or take advantage of promotions. We encourage you to ask them about their privacy practices before providing any information to them.

Sharing of Information. We may share personal information about you as follows:• With third parties to provide, maintain, and improve our Services, including service providers who access information about you to perform services on our behalf (e.g., fraud prevention and verification services), and including financial institutions, processors, payment card associations, and other entities that are part of the payment or transfer process; • With others who have signed up for PinPay accounts in order to provide our Services. For example, we may share information when you make or accept a payment or transfer using our Services. • With third parties that run advertising campaigns, contests, special offers, or other events or activities in connection with our Services; • In connection with, or during the negotiation of, any merger, sale of company stock or assets, financing, acquisition, divestiture, or dissolution of all or a portion of our business; • If we believe that disclosure is reasonably necessary to comply with any applicable law, regulation, legal process, or governmental request; to enforce applicable agreements or policies; to protect the security or integrity of our Services; and to protect us, our Sellers, end users, or the public from harm or illegal activities; and • With your consent. We may also share aggregated, non-personally identifiable information with third parties.

Security. We take reasonable measures, including administrative, technical, and physical safeguards, to help protect personal information from loss, theft, misuse, and unauthorized access, disclosure, alteration, and destruction.

Cookies. Most web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove or reject cookies; however, our Services may not function properly if you do so.

Preferences. You may also email us if you wish to deactivate your account. We may retain archived copies of information about you and your transactions for a period of time that is consistent with applicable law.

Promotional Communications. You may opt out of receiving promotional emails or text messages from PinPay by following the instructions in those emails or text messages. If you opt out, we may still send you non-promotional communications, such as digital receipts and messages about your account or our ongoing business relations.

Information that we collect from Website Visitors
We do not collect your Personal Information when you visit the website. However, so we can monitor and improve our website and services we may collect non-personally-identifiable information. We will not share or disclose this information with third parties except as a necessary part of providing our website and services.

Information that we collect from Checkout Users
When you checkout with PinPay on a merchant’s website, we collect and store your card information, your email address, your mobile phone number, and billing and shipping address. To ensure your card information is kept safe and secure on our servers, we implement access control measures (physical and virtual), security protocols, policies and standards including the use of encryption and firewall technologies in compliance with the PCI DSS Requirements and we implement periodical security updates to ensure that our security infrastructures are in compliance with reasonable industry standards.

We may share your contact information with merchants as part of your purchase details for record purposes. We will not share this information with other third parties except as a necessary part of providing our website and services. We do not share your card information with merchants. Please review your merchant’s privacy policy to understand the privacy policies guiding the merchant you transact with.

Cookies

We use cookies to identify you as a User and make your user experience easier, customize our services, content and advertising; help you ensure that your account security is not compromised, mitigate risk and prevent fraud; and to promote trust and safety on our website. Cookies allow our servers to remember your account log-in information when you visit our website, IP addresses, date and time of visits, monitor web traffic and prevent fraudulent activities. If your browser or browser add-on permits, you have the choice to disable cookies on our website, however this may limit your ability to use our website. 

How we protect your Information

PinPay is committed to managing your Personal Information in line with global industry best practices. We protect your Personal Information using physical, technical, and administrative security measures to reduce the risks of loss, misuse, unauthorized access, disclosure and alteration, we also use industry-standard Transport Layer Security (TLS) encryption technology to safeguard your Personal Information. Other security safeguards include but are not limited to data encryption, firewalls, and physical access controls to our building and files and only granting access to Personal Information to only employees who require it to fulfil their job responsibilities. 

How we share the Personal Information you provide

To enable us to render our services to you on our website, we may share your information with trusted third parties, such third parties include financial institutions, payment processors verification services, as well as any third parties that you have directly authorized to receive your Personal Information. Your Personal Information may be stored in locations outside the direct control of PinPay, for instance, on servers or databases co-located with hosting providers.

We may disclose your Personal Information compliance with applicable law or a legal obligation to which we are bound. 

Please note that merchants, sellers, and Users you buy from or contract with have their own privacy policies, and although PinPay’s Merchant Terms of Use does not allow the other transacting party to use this information for anything other than as authorized by you, PinPay is not responsible for their actions, including their information protection practices.

The use of your information by such third party will be subject to their applicable privacy policy, which you should carefully review.

The Data that we Retain

We will retain your information for as long as your account is active or as needed to provide you with our services, comply with our legal and statutory obligations or verify your information with a financial institution. 

PinPay is statutory obligated to retain the data you provide us with in order to process transactions, ensure settlements, make refunds, identify fraud and in compliance with laws and regulatory guidelines applicable to us, our banking providers and card processors.

Therefore, even after closing your PinPay account, we will retain certain data to comply with these obligations.

 

Customer Terms of Service

General

This Agreement is a contract between you and PinPay and applies to your use of the Services. The PinPay service is technology that makes it easier for digital merchants to collect payments from customers like you. PinPay also makes it easy for your to link a credit card, debit card and bank account with PinPay for use to conduct transactions across all merchants and billers in the PinPay network.

 

Your Account and Balances

Bank Accounts, Credit and Debit Cards. We offer the following types of Accounts that can be linked to the PinPay App: Bank Accounts, Credit and Debit Cards.

Stored Value Accounts (PinPay Credit). We offer a Stored Value Account, known as PinPay Credit, that will automatically be available to you once you sign up and activate your PinPay service. The balance in this Account represents the amount of E-money available for using during payment transactions, subject to the terms of this Agreement. If you hold a Balance, you will not receive interest or any other earnings on the Balance because local law forbids paying interest on E-money, as it is a cash-equivalent and not a deposit.

Account information (including Balance and transaction information). Unless your Account is restricted, blocked or cancelled, you may access your details of executed payment transactions and other information relating to your Account transaction history and Balance by logging into your PinPay App. Key information relating to your payments will be provided to you and your transaction history will also be updated and made available to you at any time by logging into your App.

Funding Source

Linking your Funding Source. You can link or unlink a debit card, a credit card, a pre-paid card (in certain cases), a bank account  as a Funding Source for your PinPay Account. Please keep your Funding Source information current (i.e. credit card number and expiration date). If this information changes, we may update it at our sole discretion without any action on your part, according to information provided by your bank or card issuer and third parties (including but not limited to our financial services partners and the card networks). If you do not want to retain your Funding Sources linked to the PinPay App, you may remove and unlink the Funding Source from the PinPay App.

You may choose to confirm your card or bank account, so that we can verify that the card or bank account is valid and that you are its owner. We may allow you to do this by following the Link and Confirm Card process (for cards) or the Bank Confirmation process (for bank accounts) or other processes which we may notify to you or which we may publish from time to time.

Cards. By linking a debit card, credit card or (in certain cases) pre-paid card as a Funding Source, you are providing PinPay with a continuous authority to automatically charge that card for the amount necessary to perform the transaction and purchase of your payment order (plus transaction fees payable to us or to the merchant/biller) when the card is the applicable Funding Source for the payment order pursuant to this Agreement.  purchase E-money required in your Balance to cover a Payment Order (plus transaction fees payable to us) when the card is the applicable Funding Source for that Payment Order pursuant to this Agreement.

Bank accounts. By linking your bank account as a Funding Source, you are providing PinPay with a continuous authority (subject to the terms of the mandate used by your bank to set up and maintain that authority) to automatically charge your bank account for the amount necessary to conduct purchases and send money.

Funding Source Limitations. In order to manage risk, PinPay may limit the Funding Sources available for a transaction. If we limit a Funding Source, we will alert you that there is a higher than normal level of risk associated with the payment (for example and without limitation, a risk that the payment may be challenged to be unauthorized). Such a notice does not mean that either party to the transaction is acting in a dishonest or fraudulent manner. It means there may be a higher than normal level of risk associated with the payment. Funding Sources may be limited also if you make a PinPay payment through certain third party websites or applications.

Execution of your Payment Orders

Subject to the terms of this Agreement (and your compliance with the same), you agree that we will execute a Payment Order made by you via your Funding Source Account and credit the payment service provider of the in real time. This is subject to you providing us with:

  1. A correct Unique Identifier or other valid details such as your bill reference number, biller-related account number and so on, to make the Payment Order;
  2. All mandatory information requested in the relevant payment or checkout flows;
  3. Valid consent to authorize your Payment Order, such valid consent is provided when you:
    • click the “Pay” or “Continue” or other button in the sections of the PinPay App or PinPay checkouts which permit you to send us a Payment Order after you have submitted your correct information (e.g. One-Time Password); and/or
    • have set up a third party-initiated payment Authorization in which you have agreed with a merchant or other third party to provide an advance Authorization to allow that merchant or third party to collect payment of funds from your PinPay Account; and/or
    • instruct us to make a payment in any other way which we may notify to you when making the Payment Order from time to time.

Insufficient Funds in your Balance. We are under no obligation to execute your Payment Order if you do not have sufficient funds in your Balance.

Transaction Limits.  We may, at our reasonable discretion (for example, without limitation, to limit fraud or credit risk), impose limits on the amount of money and the number of payments you can conduct through our Service.

Term and closing Your Account

This Agreement starts when you successfully register for a PinPay account and ends when your Account is closed for whatever reason, except that this Agreement survives termination to the extent and for so long as we require to deal with the closure of your Account and to comply with applicable laws and regulations.

You can close your Account at any time by contacting PinPay. 

We may close your Account at any time where:

  • You are in breach of the terms of this Agreement
  • You do not access your Account for three years; or
  • We suspect that your Account has been accessed without your authorization.

Where we decide to close your Account we will provide you with notice of Account closure and where practicable, the reasons for closing your Account.

When your Account is closed:

  • We may cancel any pending transactions  
  • We may suspend, limit or terminate your access to or use of our Services, websites, software, systems (including any networks and servers used to provide any of the Services) operated by us or on our behalf or some or all of the Services;
  • You will remain liable for all outstanding obligations under this Agreement related to your Account prior to closure;
  • We may keep your Account information in our database for the purpose of fulfilling our legal obligations

 Keeping your Payment Instrument Safe

You agree to perform the following actions to keep your Payment Instrument safe:

  • Not engage in any of the Restricted Activities;
  • Keep the details of your Funding Sources, password and PIN safe;
  • Not allow anyone else to have or use your Funding Source or PIN details;
  • Not disclose the details of your Funding Sources or PIN except when using the Service;
  • Never write your PIN in a way that can be understood by someone else;
  • Take care to make sure that no one sees your PIN when you use it;
  • Ensure you are logged out of the PinPay App  in your device when you don’t use it to access the Service and/or when others could access it (e.g. where you share your device with others or use your device through unsecured public internet connections, such as in typical public “free-WiFi” areas);
  • Refrain from using any functionality that saves or stores your PIN on your access device;
  • Comply with all reasonable instructions we may issue regarding how you can keep your Payment Instrument safe;
  • Keep your personal details in your Account up to date. We may be unable to respond to you if you contact us about your Account from a mobile number or email account that is not registered with us; and
  • Take all reasonable steps to protect the security of the personal electronic device through which you access the Services (including, without limitation, using pin and/or password protected personally configured device functionality to access the Services). If you lose your device, you must inform us immediately.

Actions by PinPay

If we have reason to believe that you have engaged in any Restricted Activities, we may take various actions to protect PinPay, a User, a third party, or you from Reversals, Chargebacks, Claims, fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following:

  1. We may, at any time and without liability, suspend, block, limit, close or cancel your right to use your Account entirely or for any particular transaction, which may in turn suspend, block, limit, close or cancel access to your Account or the Services (such as limiting access to any of your Funding Sources, and your ability to send money, make withdrawals, or remove financial Information). We will normally give you advance notice of any suspension or cancellation but we may, if it is reasonable to do so (for example if you are in breach of this Agreement or we consider it advisable for security reasons), suspend or cancel your right to use your Account without prior notice to you;
  2. Refuse any particular payment transaction at any time for any reason and will only be required to make available the fact of the refusal and the reasons for the refusal and how you may resolve the problem, where possible, upon request and provided it is not prohibited by law;
  3. We may reverse a payment (including, if appropriate, to the sender’s Funding Source), that violates our Acceptable Use Policy
  4. We may contact third parties and disclose details of the Restricted Activities in the manner set out in our Privacy Policy (alternatively known as our Privacy Statement);

  5. We may request information from you or otherwise update inaccurate Information you provided us;
  6. We may refuse to provide our Services to you in the future;

  7. We may take legal action against you.

  8. We may suspend, limit or terminate your access to our Services, websites, software, systems (including any networks and servers used to provide any of the Services) operated by us or on our behalf, and, to the extent and for so long as permitted by applicable law, your data.

Unless otherwise directed by us, you must not use or attempt to use your Account while it is suspended or has been closed. You remain liable under this Agreement in respect of all charges and other amounts incurred through the use of your Account at any time, irrespective of termination, suspension or closure.

Limited Access. If we suspect that your Account has been accessed without your authorization, we may suspend, or limit, your access to your Account or the Services (such as limiting access to any of your Funding Sources, and your ability to send money, make withdrawals, or remove financial Information). If we limit access to your Account, we will provide you with notice and opportunity to request restoration of access if appropriate.

 

Terms of Use

About Us

PinPay (“we”, “us” or “our”) is an online payment platform that makes it easy for merchants to accept credit and debit card payments and mobile application payments online from users or customers.

We are an independent contractor for all purposes, providing this website and our services on an independent service provider basis. We do not have control or assume the liability or legality for the products or services that are paid for with our service. We do not guarantee any user’s identity and cannot ensure that a buyer or seller will complete a transaction.

This Terms of Use is an agreement between you and PinPay. It details PinPay’s obligations to you. It also highlights certain risks on using the services and you must consider such risks carefully as you will be bound by the provision of this Agreement through your use of this website or any of our services.

Disputes & Reversal

If you believe that an unauthorized or otherwise problematic transaction has taken place, you agree to notify us immediately, to enable us to act to help prevent financial loss.

All claims against us related to payments should be made within 45 (forty-five) days after the date of such payment. It will be taken that you waive all claims against us, to the fullest extent of the law after the said period of time.

If you enter into a transaction with a third party and have a dispute over the goods or services you purchased, we have no liability for such goods or services. Our only involvement with regard to such transaction is as a payment gateway.

We may intervene in disputes between users and merchants concerning payments but have no obligation to do so.

Your transaction ID and/or transaction details will be required to resolve all disputes

Acceptable Use Policy

You are independently responsible for complying with all applicable laws related to your use of our website and services. However, by accessing or using PinPay, you agree to comply with the terms and conditions of our Acceptable Use Policy which you can read on our Acceptable Use Policy page.

Limitation of Liability

IN NO EVENT WILL ANY OF THE  PINPAY PARTIES BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OR (B) ANY DAMAGES WHATSOEVER IN EXCESS OF THE AMOUNT OF THE TRANSACTION OR TWENTY THOUSAND UNITED STATES DOLLARS (US$20,000.00) DOLLARS, WHICHEVER IS LESSER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF REVENUES, LOST PROFITS, LOSS OF GOODWILL, LOSS OF USE, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES), ARISING OUT OF OR IN CONNECTION WITH PINPAY’S WEBSITE OR SERVICES (INCLUDING, WITHOUT LIMITATION, USE, INABILITY TO USE, OR THE RESULTS OF USE OF PINPAY’S WEBSITES OR SERVICES), WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above disclaimers and limitations of liability may not apply to you. To the extent that any PinPay Party may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of the PinPay’s Party's liability shall be the minimum permitted under such applicable law.

Applicable Law 

These Terms of Use shall be interpreted and governed by the laws currently in force in the Republic of Lebanon.

Legal Disputes

We shall make an effort to settle all disputes amicably. Any dispute arising out of this Terms of Use, which cannot be settled, by mutual agreement/negotiation within 1 (one) month shall be referred to arbitration. Venue for arbitration shall be Beirut, Lebanon.

Severability

If any portion of these Terms of Use is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms of Use and shall not affect the validity or enforceability of any other part in this Terms of Use.

By signing up for an account on this website (www.pin-pay.com), any of our websites and/or services, you are deemed a merchant and agree to these Merchant Terms of Service (the “Agreement”).

About Us 

PinPay (“we”, “us” or “our”) is a digital payment platform that makes it easy for merchants to accept card, bank and mobile payments online from users or customers. Customers can use the platform to easily conduct payments through the mobile application and online payment links.

We are an independent contractor for all purposes, providing this website and our services on an independent service provider basis. We do not endorse, have control or assume the liability or legality for the products or services that are paid for with our service. We do not guarantee any user’s identity and cannot ensure that a buyer or seller will complete a transaction.  

Agreement

These Merchant Terms of Service is an agreement between you and PinPay. It details PinPay’s obligations to you. It also highlights certain risks on using the services and you must consider such risks carefully as you will be bound by the provision of this Agreement through your use of this website or any of our services. 

Registration

To use PinPay, you have to create a PinPay account by registering. To register, you will provide us with certain information such as your email, first name, last name, business name and mobile number and we may seek to verify your information, (by ourselves or through third parties), after which we will approve your account unless deemed risky. You give us permission to do all these.

Change of Information

In the event that you change any information provided to us at registration including your business name, address, financial institution, mode of payments or the products and services that you offer, or where a corporate restructuring occurs you agree to notify us within 14 days of such change.  We may be unable to respond to you if you contact us from an address, telephone number or email account that is not registered with us.

Representation and Warranties

You represent and warrant to PinPay that: 

  1. You have full power and authority to enter into, execute, deliver and perform this Agreement; 
  2. You are duly organized, authorized and in good standing under the laws of the Republic of Lebanon or any state, region or country of your organization and are duly authorized to do business in all other states, regions or countries in which your business operates.

Age Restriction

Our website and services are not directed to children under 18. We do not knowingly transact or provide any services to children under 18. 

Account Security

You agree not to allow anyone else to have or use your password details and to comply with all reasonable instructions we may issue regarding account access and security. In the event you share your password details, PinPay will not be liable to you for losses or damages. You will also take all reasonable steps to protect the security of the personal electronic device through which you access PinPay’s services (including, without limitation, using PIN and/or password protected personally configured device functionality to access PinPay’s services and not sharing your device with other people).

Data Compliance  

You agree to comply with all data privacy and security requirements of the Payment Card Industry Data Security Standard (PCI DSS Requirements”) and under any applicable law or regulation that may be in force, enacted or adopted regarding confidentiality, your access, use, storage and disclosure of user information. Information on the PCI DSS can be found on the PCI Council’s website. It is your responsibility to comply with these standards.

We are responsible for the security and protection of Card Holder Data (CHD) we collect and store. Accordingly, we implement access control measures, security protocols and standards including the use of encryption and firewall technologies to ensure that CHD is kept safe and secure on our servers, in compliance with the PCI DSS Requirement. We also implement periodical security updates to ensure that our security infrastructures are in compliance with reasonable industry standards.

We acknowledge that you own all your customers’ data. You hereby grant PinPay a perpetual, irrevocable, sub-licensable, assignable, worldwide, royalty-free license to use, reproduce, electronically distribute, and display your customers’ data for the following purposes: 

  1. Providing and improving our services;
  2. Internal usage, including but not limited to, data analytics and metrics so long as individual customer data has been anonymized and aggregated with other customer data; 
  3. Complying with applicable legal requirements and assisting law enforcement agencies by responding to requests for the disclosure of information in accordance with local laws; and 
  4. Any other purpose for which consent has been provided by your customer.

Intellectual Property

We do not grant any right or license to any PinPay intellectual property rights by implication, estoppel or otherwise other than those expressly mentioned in this Agreement.

Each party shall retain all intellectual property rights including all ownership rights, title, and interest in and to its own products and services, subject only to the rights and licenses specifically granted herein.

Publicity

You hereby grant PinPay permissions to use your name and logo in our marketing materials including, but not limited to use on our website, in customer listings, in interviews and in press releases. Such Publicity does not imply an endorsement for your products and services. 

Confidential Information

The parties acknowledge that in the performance of their duties under this Agreement, either party may communicate to the other (or its designees) certain confidential and proprietary information, including without limitation information concerning each party’s services, know how, technology, techniques, or business or marketing plans (collectively, the “Confidential Information”) all of which are confidential and proprietary to, and trade secrets of, the disclosing party. Confidential Information does not include information that: (i) is public knowledge at the time of disclosure by the disclosing party; (ii) becomes public knowledge or known to the receiving party after disclosure by the disclosing party other than by breach of the receiving party’s obligations under this section or by breach of a third party’s confidentiality obligations; (iii) was known by the receiving party prior to disclosure by the disclosing party other than by breach of a third party’s confidentiality obligations; or (iv) is independently developed by the receiving party.

As a condition to the receipt of the Confidential Information from the disclosing party, the receiving party shall: (i) not disclose in any manner, directly or indirectly, to any third party any portion of the disclosing party’s Confidential Information; (ii) not use the disclosing party’s Confidential Information in any fashion except to perform its duties under this Agreement or with the disclosing party’s express prior written consent; (iii) disclose the disclosing party’s Confidential Information, in whole or in part, only to employees and agents who need to have access thereto for the receiving party’s internal business purposes; (iv) take all necessary steps to ensure that its employees and agents are informed of and comply with the confidentiality restrictions contained in this Agreement; and (v) take all necessary precautions to protect the confidentiality of the Confidential Information received hereunder and exercise at least the same degree of care in safeguarding the Confidential Information as it would with its own confidential information, and in no event shall apply less than a reasonable standard of care to prevent disclosure.

Know Your Customer

You agree that, you are solely responsible for verifying the identities of your customers, ensuring that they are authorized to carry out the transactions on your platform, and determining their eligibility to purchase your products and services. 

You are also required to maintain information and proof of service or product delivery to your customer. Where a dispute occurs needing resolution, you may be required to provide PinPay with this information related to the service or product delivery. 

Card Network Rules

Each card network has its own rules, regulations and guidelines. You are required to comply with all applicable Network Rules that are applicable to merchants. You can review portions of the Network Rules at Mastercard, Visa, and other payment cards. The Card Networks reserve the right to amend the Network Rules.

Customer Payments

You may only process payments when authorized to do so by your customer. We will only process transactions that have been authorized by the applicable Card Network, card issuer or financial institution.

We do not guarantee or assume any liability for transactions authorized and completed that are later reversed or charged back (see Chargebacks below). You are solely responsible for all reversed or charged back transactions, regardless of the reason for, or timing of, the reversal or chargeback. PinPay may add or remove one or more payment types or networks at any time. If we do so we will use reasonable efforts to give you prior notice of the removal.

Our Fees & Pricing Schedule

You agree to pay us for the services we render as a payment platform and gateway for your goods and services.

We reserve the right to revise our Fees. In the event that we revise our fees we will notify you within 5 days of such change. 

Settlement

Subject to the terms of this Agreement, PinPay will send to your designated bank or card settlement account (“Bank Account”) all amounts settled and due to you from your transactions, minus our fees, any Reversals, Invalidated Payments, Chargebacks, Refunds or other amounts that you owe to PinPay under this Agreement (“Settlement”). If the Settlement is not sufficient to cover the amounts due, you agree that we may debit your Bank Account for the applicable amounts, and/or set-off the applicable amounts against future Settlements. Upon our request, you agree to provide us with all necessary bank account and related information and grant us permission to debit amounts due from your Bank Account.

After transfer of funds is initiated to your Bank Account, we will update information on your PinPay Dashboard to reflect settlement. Information regarding your transactions that are processed and settled using PinPay (“Transaction History”) will be available to you when you login to your PinPay Dashboard. While we will provide Transaction History in your PinPay Dashboard, you are solely responsible for compiling and retaining permanent records of all transactions and other data associated with your PinPay account as may be required for your business. PinPay is not responsible for maintaining Transaction History or other records in a manner consistent with your record retention obligations.

Settlement Schedule

Your Settlement Schedule, which is the time it takes us to initiate a transfer to your Bank Account settled funds from card and bank transactions processed through us is on your PinPay Dashboard. We reserve the right to change your Settlement Schedule, suspend payouts to your Bank Account or initiate a Reversal should we deem it necessary due to pending disputes, excessive or unanticipated excessive Chargebacks or Refunds, or other suspicious activity associated with your use of PinPay, or if required by law or court order.

How we handle your Funds

You authorize and instruct PinPay to hold, receive, and disburse funds on your behalf when such funds from your card transactions settle from the Card Networks. By accepting this Agreement, you further authorize PinPay on how your card transaction settlement funds should be disbursed to you as Settlements and the timing of such Settlements. 

You agree that you are not entitled to any interest or other compensation associated with the settlement funds held by PinPay to your Bank Account. 

Settlement funds will be held in a deposit account at PinPay pending Settlements to you in accordance with the terms of this contract. We may periodically make available to you information about pending settlements yet to be received from the Card Networks and Banks.

Your authorizations will remain valid and be of full effect until your PinPay Account is closed or terminated.

Security and Fraud Controls

PinPay is responsible for protecting the security of Payment Data including Card Holder Data in our possession and will maintain commercially reasonable administrative, technical, and physical procedures to protect all the personal information regarding you and your customers that is stored in our servers from unauthorized access and accidental loss or modification. Although, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use such personal information for improper purposes. We will however take all reasonable and commercially achievable measures to address any security breach as soon as we become aware.

You agree to use other procedures and controls provided by us and other measures that are appropriate for your business to reduce the risk of fraud. 

In the event that you suspect any fraudulent activity by a customer, you agree to notify PinPay immediately and abort the delivery of the service. In addition, where we suspect that there have been frequent fraudulent transactions on your account, we reserve the right to cancel our service to you and/or your account.

Notification of Errors

You agree to notify us immediately any error is detected while reconciling transactions that have occurred using PinPay.  We will investigate and rectify the errors where verified. In the event that we notice any errors, we will also investigate and rectify such errors. 

Where we owe you money as a result of such errors, we will refund the amounts owed to you by a bank transfer to your Bank Account. 

If a transaction is erroneously processed through your platform, report to us immediately. We will investigate any such reports and attempt to rectify the errors by crediting or debiting your Bank Account as appropriate. 

Failure to notify us within 45 (forty-five) days of the occurrence of an error will be deemed a waiver of your rights to amounts that are owed to you due to an error.

Chargebacks

A Chargeback usually happens when a customer files directly with or disputes through his or her credit or debit card issuer a payment on their bill. It may result in the reversal of a transaction.  You may be assessed Chargebacks for (i) customer disputes; (ii) unauthorized or improperly authorized transactions; (iii) transactions that do not comply with Card Network Rules or the terms of this Agreement or are allegedly unlawful or suspicious; or (iv) any reversals for any reason by the Card Network, our processor, or the acquiring or issuing banks. Where a Chargeback occurs, you are immediately liable for all claims, expenses, fines and liability we incur arising out of that Chargeback and agree that we may recover these amounts by debiting your Bank Account. Where these amounts are not recoverable through your Bank Account, you agree to pay all such amounts through any other means

Reserves

In our sole discretion, we may place a Reserve on a portion of your Settlements by holding for a certain period such portion where we believe there is a high level of risk associated with your business. If we take such steps, we will provide you with the terms of the Reserve which may include the percentage of your Settlements to be held back, period of time and any other such restrictions that PinPay may deem necessary. Where such terms are changed, we will notify you. You agree that you will remain liable for all obligations related to your transactions even after the release of any Reserve. In addition, we may require you to keep your Bank Account available for any open settlements, Chargebacks and other adjustments.

To secure your performance of this Agreement, you grant PinPay a legal claim to the funds held in the Reserve as a lien or security interest for amounts payable by you.

Refunds

You agree that you are solely responsible for accepting and processing returns of your products and services. We are under no obligation to process returns of your products and services, or to respond to your customers’ inquiries about returns of your products and services. You agree to submit all Refunds for returns of your products and services that were paid for through PinPay to your customers in accordance with this Agreement and relevant Card Network Rules. 

Termination

You may terminate this Agreement by closing your PinPay Account.

We may suspend your PinPay Account and your access to PinPay services and any funds, or terminate this Agreement, if;

  1. You do not comply with any of the provisions of this Agreement;
  2. We are required to do so by a Law;
  3. We are directed by a Card Network or issuing financial institution; or
  4. Where a suspicious or fraudulent transaction occurs

Restricted Activities & Acceptable Use Policy

You are independently responsible for complying with all applicable laws related to your use of our website and services. However, by accessing or using PinPay, you agree to comply with the terms and conditions of our Acceptable Use Policy and are restricted from the activities specified in it which you can read on our Acceptable Use Policy page.

PinPay is committed to managing your Personal Information in line with global industry best practices. You can read our Privacy Policy to understand how we use your information and the steps we take to protect your information. 

Disclaimers

WE TRY TO KEEP PINPAY AVAILABLE AT ALL TIMES, BUG-FREE AND SAFE, HOWEVER, YOU USE IT AT YOUR OWN RISK.

OUR WEBSITE AND SERVICES ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS, IMPLIED AND/OR STATUTORY WARRANTIES (INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED OR STATUTORY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS). WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, PINPAY MAKES NO WARRANTY THAT OUR WEBSITE AND SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OUR WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH OUR WEBSITE OR FROM PINPAY, ITS PARENTS, SUBSIDIARIES, OR OTHER AFFILIATED COMPANIES, OR ITS OR THEIR SUPPLIERS (OR THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS OF ANY SUCH ENTITIES) (COLLECTIVELY, "PINPAY PARTIES") SHALL CREATE ANY WARRANTY. 

Limitation of Liability

IN NO EVENT WILL ANY OF THE  PINPAY PARTIES BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OR (B) ANY DAMAGES WHATSOEVER IN EXCESS OF THE AMOUNT OF THE TRANSACTION OR TWENTY THOUSAND UNITED STATES DOLLARS (US$20,000.00) DOLLARS, WHICHEVER IS LESSER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF REVENUES, LOST PROFITS, LOSS OF GOODWILL, LOSS OF USE, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES), ARISING OUT OF OR IN CONNECTION WITH PINPAY’S WEBSITE OR SERVICES (INCLUDING, WITHOUT LIMITATION, USE, INABILITY TO USE, OR THE RESULTS OF USE OF PINPAY’S WEBSITES OR SERVICES), WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above disclaimers and limitations of liability may not apply to you. Indemnity

You agree to defend, indemnify, and hold PinPay, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Agreement.

Acceptable Use Policy

By accessing or using PinPay, you agree to comply with the terms and conditions of this Acceptable Use Policy.  

 Restricted Activities

You may not use PinPay in connection with any product, service, transaction or activity that:

  • Violates any law or government regulation, or promotes or facilitates such by third parties;
  • Violates any rule or regulation of Visa, MasterCard or any other electronic funds transfer network (each, a “Card Network”);
  • Is fraudulent, deceptive, unfair or predatory;
  • Causes or threatens reputational damage to us or any Card Network;
  • Involves any of the business categories listed in clause 2; or
  • Results in or creates a significant risk of chargebacks, penalties, damages or other harm or liability.

 

Certain Business Categories

You may not use PinPay in connection with any product, service, transaction or activity that:

  • Falls within the Prohibition list of the Central Bank of Lebanon
  • Relates to the sale and/or purchase of:
  1. The growing, manufacturing, or illicit trafficking of narcotic drugs and/or psychotropic substances according to the Lebanese laws.
  2. The participation in illegal associations with the intention of committing crimes and misdemeanors.
  3. Terrorism, according to the provisions of Lebanese laws.
  4. The financing of terrorism or terrorist acts and any other related activities (travel, organizing, training, recruiting…) or the financing of individuals or terrorist organizations, according to the provisions of Lebanese laws.
  5. Illicit arms trafficking.
  6. Kidnapping, using weapons or any other means.
  7. Insider trading, breach of confidentiality, hindering of auctions, and illegal speculation.
  8. Incitation to debauchery and offence against ethics and public decency by way of organized gangs.
  9. Corruption, including bribery, trading in influence, embezzlement, abuse of functions, abuse of power, and illicit enrichment.
  10. Theft, breach of trust, and embezzlement.
  11. Fraud, including fraudulent bankruptcy. Unlicensed financial services, stocks or other securities
  12. The counterfeiting of public and private documents and instruments, including checks and credit cards of all types and the counterfeiting of money, stamps and stamped papers.
  13. Smuggling, according to the provisions of the Customs Law.
  14. The counterfeiting of goods and fraudulent trading in counterfeit goods.
  15. Air and maritime piracy.
  16. Trafficking in human beings and smuggling of migrants.
  17. Sexual exploitation, including sexual exploitation of children. Sale of any sexually oriented materials and obscene materials including pornography.
  18. Environmental crimes.
  19. Extortion.
  20. Murder.
  21. Tax evasion, in accordance with the Lebanese laws.
  22. show the personal information of third parties in violation of applicable law;
  23. Support pyramid or ponzi schemes, matrix programs, other "get rich quick" schemes or certain multi-level marketing programs;
  24. Involve gambling, gaming and/or any other activity with an entry fee and a prize, including, but not limited to casino games, sports betting, horse or greyhound racing, lottery tickets, other ventures that facilitate gambling, games of skill

 

Actions by PinPay

If, in our sole discretion, we believe that you may have engaged in any violation of this Acceptable Use Policy, we may (with or without notice to you) take such actions as we deem appropriate to mitigate risk to PinPay and any impacted third parties and to ensure compliance with this Acceptable Use Policy. Such actions may include, without limitation:

  • Blocking the settlement or completion of one or more payments;
  • Suspending, restricting or terminating your access to and use of the PinPay’s Services;
  • Terminating our business relationship with you, including termination without liability to PinPay of any payment service agreement between you and PinPay;
  • Taking legal action against you;
  • Contacting and disclosing information related to such violations to (i) persons who have sold/purchased goods or services from you, (ii) any banks or Card Networks involved with your business or transactions, (iii) law enforcement or regulatory agencies, and (iv) other third parties that may have been impacted by such violations; or
  • Assessing against you any fees, penalties, assessments or expenses (including reasonable attorneys’ fees) that we may incur as a result of such violations, which you agree to pay promptly upon notice.
